The House

Why Axis Finance exists, how it works, and how it is governed and controlled.

Our purpose

Why AXIS FINANCE exists.

In West African economies, a persistent gap separates the wealth of resources from the fluidity of capital.

Viable projects fail to find financing. Available capital fails to find structured projects. Between the two, intermediation remains embryonic, fragmented, and often without doctrine.

AXIS FINANCE was founded on one conviction: this gap is not an economic inevitability — it is an engineering deficit. It is closed neither by more liquidity nor by more regulation, but by professionals able to translate an industrial project into a financial structure defensible before an international credit committee.

Our purpose is to build, from Conakry and for the entire region, an independent finance house whose only raw material is competence, and whose only lasting asset is reputation.

Our five-year ambition is to be the first signature that comes to mind for a Guinean issuer seeking to raise capital, an international investor seeking to enter, or a state seeking to structure.

Our approach

The Axis method.

Understand before proposing.

Every engagement opens with a diagnostic phase whose conclusions are written, dated and shared. We do not begin structuring work on an implicit understanding of the need.

Model without complacency.

Our financial models build in downside scenarios before upside ones. A file that does not withstand our own sensitivity tests does not leave our offices.

Structure for the lender as much as for the client.

A financial structure is not good because it satisfies our client. It is good because it is financeable. We write our files from the standpoint of whoever will have to say yes.

Execute to the end.

We drive negotiation, documentation, the satisfaction of conditions precedent and closing. The mandate ends at disbursement, not at the delivery of a report.

Report back.

Formal reporting, contractual periodicity, full traceability of due diligence performed.

Governance

Governance at institutional standard.

AXIS FINANCE is a public limited company with a Board of Directors, governed by the OHADA Uniform Act on Commercial Companies and Economic Interest Groups.

  • General Meeting of Shareholders

    The Company's sovereign body.

  • Board of Directors

Composed of three to twelve members, it sets the direction of the Company's activities and oversees their implementation. It holds the broadest powers within the limits of the corporate purpose and subject to the powers expressly reserved to general meetings.

  • Executive Management

Executive management is led by a Chairman and Chief Executive Officer, assisted by Deputy Chief Executive Officers responsible respectively for Operations and Digital Transformation. Executive Management operates under a formalised authority matrix defining commitment thresholds and three-tier signature rules.

  • Specialised committees

Audit and Risk Committee · Investment Committee · Compliance Committee · Shariah Board, for Islamic finance transactions.

  • Statutory audit

The Company's accounts are certified by a Statutory Auditor in accordance with the Uniform Act.

Named composition to be published. The list of directors, their biographies and photographs (black and white, portrait format, plain background), is yet to be added before launch. At this stage, this is the single most useful action for the site's credibility: a finance house with no identifiable face is the first signal of distrust for an investor or regulator.

Compliance & Ethics

Compliance is not a constraint. It is a condition of access.

No serious financial institution, no international investor, no development lender enters into a relationship with a counterparty whose compliance framework cannot be demonstrated. AXIS FINANCE built its own from the moment it was formed.

  • Anti-money laundering and counter-terrorist financing (AML/CFT) A comprehensive framework aligned with FATF recommendations and GIABA directives: client identification and verification, enhanced due diligence for politically exposed persons, transaction monitoring, record-keeping, and reporting of suspicious transactions to the competent authorities.
  • Know Your Customer (KYC) Documented onboarding procedures, periodic file updates, risk classification by counterparty.
  • Personal data protection Data processing consistent with the principles of purpose limitation, proportionality and security. Secure hosting, access logging, segregation of permissions.
  • Cybersecurity Technical architecture designed on a secure-by-default basis, encryption in transit, periodic penetration testing, business continuity plan.
  • Conflict of interest prevention Functional and informational segregation between advisory, brokerage and research activities. A conflicts of interest register. Ethics rules governing staff members' personal transactions.
  • Client protection Full fee transparency, formalised pre-contractual disclosure, a complaints-handling procedure.

Regulatory scope. Activities subject to authorisation or licensing are carried out only once the required authorisations have been obtained, or through specialised subsidiaries or duly licensed partners.
